AI Over Dogecoin: CleanCore Liquidates 463 Million DOGE to Build More Data Centers

CleanCore Solutions, Inc. (ZONE) has completely wound down its Dogecoin treasury strategy and launched a large-scale follow-on offering to finance its AI infrastructure.

The business U-turn is taking place against the backdrop of a prolonged collapse in the issuer's own stock and includes the complete sale of its legacy ozone-based cleaning products manufacturing segment.

As part of the strategic shift, CleanCore fully liquidated its crypto portfolio on July 20, selling 463 million DOGE tokens for $33.4 million. Notably, Dogecoin itself effectively ignored the sell-off.

The cryptocurrency held its key support levels and continues to trade steadily at around $0.0917, moving within its own independent trend and separately from the plunging stock of the former Dogecoin treasury company.

To provide capital for the new strategy, CleanCore raised $100 million through a public offering of common stock and warrants conducted through placement agents Curvature Securities and Cantor Fitzgerald. The transaction increased the number of shares outstanding by 122% to 502.1 million, severely diluting existing shareholders.

A 70 million DOGE accounting failure on the path to AI 

Against this backdrop, ZONE shares reached a new all-time low of $0.1513, although the downtrend had formed long before the official announcement. The stock decisively broke below its volume profile level of $0.3368 and fell beneath its net tangible asset value of $0.252. 

Meanwhile, the $79.6 million market capitalization held by non-affiliated shareholders exempted ZONE from the SEC's limits for micro-issuers but failed to stop the stock's decline.

The proceeds from the asset liquidation and follow-on offering are being directed toward the accelerated construction of new data centers. The company currently has two key projects: a 200-megawatt data center in West Texas, with financing expected to close by the first quarter of 2027, and a highly reliable 40-megawatt Tier 3 data center in Minnesota.

As part of the Minnesota project, the company is establishing a joint venture in which it will hold a 21% stake. It has already signed a 10-year colocation agreement with Cerebras Systems, Nvidia's main competitor in the AI chip sector, and committed to investing up to $500 million in capital in stages.

At the same time, CleanCore has encountered a serious audit crisis. A restatement of its financial statements for the first quarter of 2026 uncovered an error: the accounting department had overlooked a noncash transfer of 70 million Dogecoin made upon the termination of an asset management agreement. 

As a result, management formally acknowledged a material weakness in internal controls.

Given the severe construction risks associated with developing data centers, management's unrestricted discretion in spending the millions raised, and the complete refusal to pay dividends, the company is pivoting its business at a time when market confidence has reached an all-time low.
