Update: Aon to Acquire USI Insurance Services for $17 Billion

Aon (AON) has agreed to acquire USI Insurance Services from KKR (KKR) and other shareholders for $17 billion, according to a Monday statement. The transaction will be funded with new debt that will be raised across a range of maturities. The acquisition is estimated to be accretive to adjusted earnings per share from 2028 and deliver about $395 million in annual run-rate net adjusted EBITDA impact, the company said. The transaction represents roughly six times the original equity that KKR invested in 2017, KKR said. KKR said that the divestment is expected to generate around $3.3 billion of after-tax proceeds and about $2 billion of adjusted net income. Both the boards of Aon and USI have approved the deal, which is set to close in Q4. Aon and USI will continue to operate independently until the closing date.
