AbbVie (ABBV.US) announced on Thursday that it has completed its $10.9 billion acquisition of anti-inflammatory drug developer Apogee Therapeutics (APGE.US).

According to Jinse Finance APP, AbbVie (ABBV.US) announced on Thursday that it has completed the acquisition of anti-inflammatory drug developer Apogee Therapeutics (APGE.US) in a deal valued at $10.9 billion.

This transaction is the largest bolt-on acquisition by the pharmaceutical giant since 2019. Jinse Finance APP first reported on this in June of this year.

AbbVie expects this acquisition will have a negative impact on its adjusted diluted earnings per share (EPS), with a reduction of $0.14 in 2026 (for part of the year), $0.46 in 2027, and anticipates that accretion will begin in 2032.

The company reiterated its previously issued full-year 2026 adjusted diluted EPS guidance of $13.87 to $14.07 (market consensus is $14.01). This guidance already includes the $0.14 per share dilution related to the completion of the Apogee acquisition. The EPS guidance also incorporates a $0.58 per share adverse impact resulting from acquired in-process R&D (IPR&D) and milestone expenses year to date through the end of the second quarter.

In addition, the company reaffirmed its third quarter adjusted EPS guidance, ranging from $3.84 to $3.88 per share (market consensus is $3.84).
