Starbucks publicly clarified on Monday that the company has not acquired Chipotle Mexican Grill, putting an end to the previous acquisition rumors.

Zhitong Finance APP reported that Starbucks (SBUX.US) publicly clarified on Monday, making it clear that the company has not acquired Chipotle Mexican Grill (CMG.US), putting an end to previous acquisition rumors. If true, the deal would have been the largest merger in the restaurant industry’s history, but it had been met with skepticism from both investors and analysts.

A Starbucks spokesperson stated: “As a matter of policy, we do not comment on rumors or speculation, but we want to be clear: we are not acquiring Chipotle.” Chipotle declined to comment.

The Origin of the Rumor

Previously, on October 8, the Financial Times, citing sources familiar with the matter, reported that Starbucks had worked with a team of advisers over the past few months to explore a potential acquisition of Chipotle. Starbucks did not respond to questions on whether it had engaged advisers to move forward with the transaction.

After the news broke, the market saw significant volatility: boosted by the acquisition prospects, Chipotle’s share price surged over 7% in a single day, while Starbucks’ share price fell by around 3%. After the clarification was issued on Monday, Starbucks’ share price rose about 1% in early trading, while Chipotle fell back about 4%. The previous rise in Chipotle’s share price was largely due to the anticipation that the deal would see Starbucks CEO Brian Niccol return to his alma mater of six years.

Strategic Rationale in Question

Multiple analysts questioned the rationale behind the deal from the outset, arguing that a Starbucks currently undergoing a “revitalization” should not get distracted. Annex Wealth Management’s Chief Economist Brian Jacobsen commented: “Rumors like this tend to get investment bankers dreaming up all sorts of combinations, but actually making them happen is very difficult. The trend now is more towards divestitures rather than acquisitions.”

If completed, the deal would combine the two companies into a restaurant giant with annual sales of about $50 billion, potentially strengthening their resilience against consumer demand being squeezed by inflation, rising operating costs, and profit pressures. Chipotle’s current market capitalization is about $40 billion.

Paren Knadjian, a partner at EisnerAmper Transaction Advisory Services, noted last week: “Paying a premium for the acquisition would likely require a mix of debt and equity, which would challenge leverage levels and could dilute existing Starbucks shareholders at a critical time in its transformation.”

Niccol’s Top Priority

Niccol joined Starbucks in 2024, having previously led Chipotle out of a food safety crisis, driving rapid growth and digital expansion, achievements that brought him wide recognition. Since his departure, Chipotle’s share price has nearly halved.

Starbucks reiterated in its statement that management is “highly focused on” the “Back to Starbucks” strategy and remains “vigorous and confident” about long-term growth prospects. The company will announce fourth quarter results and outlook for fiscal year 2027 later this month.

So far this year, Starbucks’ stock price has risen by 7.8%, about half the increase of the S&P 500 over the same period. As part of the transformation plan led by Niccol, Starbucks has shut down dozens of underperforming stores, aiming to win back customers by reducing wait times and simplifying menus. Meanwhile, Chipotle has recently seen foot traffic soften due to weaker consumer spending, as the restaurant industry as a whole is struggling with pressure on profit margins from rising food and labor costs.
